Need advice guys!, looking to buy a 1980 w123 , tax n mot exempt , is it worth getting it checked out independently ?, it's from a dealer , just don't want to end up with a shed !, buyer beware and all that !, any advice would be appreciated Thanks , jay

I would say that if you aren't confident with what you are looking at then paying someone who knows what they are doing is likely to be a good move if the car is of any significant value.
The car is 44 years old and a lot can be covered up by shiny paint and running gear can be worn out/faulty and its not necessarily apparent, especially if the person driving has their rose tinted glasses on (as I usually do when I end up buying some fillered up old spud!).

If it's from a dealer, I'd expect them to MOT it regardless. Cars over 40 do not require an MOT*, but you are still allowed to MOT them if you like, and many owners do so for peace of mind. If the dealer refuses to MOT the car I would consider that a major warning sign.
Also I'm sure you're aware but they are not tax "exempt" but rather £0.00 tax, you still need to tax it but it's free. Just thought I'd mention in case you got caught out.
*there are some exceptions but let's keep it simple...

What he ^^ said, if it's from a dealer I would expect it MOTd unless it was accordingly priced.
